Please read these Terms and Conditions (“Terms,” “Agreement”) carefully before using the website located at humanecaretherapy.com (the “Site”), accessing our services, or engaging with Humane Care Therapy Inc. in any capacity. By accessing or using our Site or services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately discontinue use of this Site and our services.
These Terms constitute a legally binding agreement between you (“User,” “Client,” “Agency Partner,” “Clinician,” or “Patient”) and Humane Care Therapy Inc., a Texas-based therapy staffing company (“Humane Care Therapy,” “Company,” “we,” “us,” or “our”).

Humane Care Therapy Inc. is an Occupational Therapist-owned and operated company providing licensed Occupational Therapy (OT), Physical Therapy (PT), Speech-Language Pathology (SLP), and Medical Social Work (MSW) staffing solutions to home health agencies across Houston, Texas and the greater Southeast Texas region.
2. ACCEPTANCE OF TERMS
2.1 Agreement to Terms
By accessing this website, submitting a form, making a referral, applying for a position, or engaging our staffing services, you expressly agree to these Terms and our Privacy Policy, which is incorporated herein by reference.
2.2 Eligibility
You represent that you are at least 18 years of age, have the legal authority to enter into this Agreement, and are using our services for lawful purposes only.
2.3 Updates to Terms
We reserve the right to modify these Terms at any time. Changes become effective upon posting to this Site. Your continued use of the Site or our services after changes are posted constitutes acceptance of the revised Terms. We will indicate the date of the most recent update at the top of this document.
2.4 Electronic Agreement
You agree that your use of this Site and submission of any form constitutes an electronic signature equivalent to a written signature and creates a binding legal agreement.
3. DESCRIPTION OF SERVICES
3.1 Therapy Staffing Services
Humane Care Therapy Inc. provides independent contractor placement services, connecting licensed therapy professionals with home health agencies. Our core services include staffing for:
- Occupational Therapy (OT) and Certified Occupational Therapy Assistants (COTA)
- Physical Therapy (PT) and Physical Therapy Assistants (PTA)
- Speech-Language Pathology (SLP)
- Medical Social Work (MSW — LMSW/LCSW)
3.2 Home Health Services
Our clinicians deliver home-based therapy services to patients referred by home health agencies, including but not limited to rehabilitation, functional assessment, caregiver training, and care coordination services.
3.3 Communication Services
We may use third-party HIPAA-eligible communication platforms (voice, SMS, and messaging services) to facilitate appointment reminders, scheduling notifications, and non-PHI communications. All such communications comply with applicable federal and state law including HIPAA, the Telephone Consumer Protection Act (TCPA), and Texas state telecommunications regulations.
3.4 Website and Informational Content
The content on this Site is provided for informational purposes only and does not constitute medical advice, clinical guidance, legal advice, or a guarantee of outcomes. Always consult a qualified healthcare professional for medical decisions.
3.5 Service Availability
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of services.
4. INDEPENDENT CONTRACTOR RELATIONSHIPS
4.1 Clinician Status
All therapy professionals and social workers placed by Humane Care Therapy Inc. are engaged as independent contractors, not employees, of Humane Care Therapy Inc. or the home health agencies they serve. Nothing in these Terms or any placement agreement shall be construed to create an employer-employee relationship, partnership, joint venture, or agency relationship.
4.2 Clinician Responsibilities
Independent contractor clinicians are responsible for:
- Maintaining current, active state licensure in Texas and any other applicable state
- Maintaining professional liability insurance at required coverage levels
- Complying with all applicable professional practice standards, Medicare, Medicaid, and private insurance documentation requirements
- Filing and paying all applicable federal, state, and local taxes including self-employment tax
- Maintaining their own business records and complying with IRS independent contractor requirements
- Adhering to all HIPAA Privacy and Security Rules when handling Protected Health Information (PHI)
4.3 No Benefits
Independent contractor clinicians are not entitled to any employee benefits including health insurance, retirement contributions, paid time off, workers’ compensation, or unemployment insurance from Humane Care Therapy Inc.
4.4 Agency Partner Responsibilities
Home health agencies that engage our staffing services agree to:
- Provide accurate information regarding patient needs, service area, and documentation requirements
- Maintain their own Medicare and Medicaid certifications and compliance programs
- Supervise clinical care consistent with applicable state and federal law
- Execute and maintain all required agreements including Business Associate Agreements (BAAs) as required under HIPAA
- Provide timely notification of any compliance concerns or adverse events
5. HIPAA COMPLIANCE AND PROTECTED HEALTH INFORMATION
5.1 HIPAA Covered Entity Status
Humane Care Therapy Inc. acknowledges its responsibilities under the Health Insurance Portability and Accountability Act of 1996 (HIPAA) and applicable federal regulations protecting Protected Health Information (PHI).
5.2 Business Associate Agreements
Where required by law, Humane Care Therapy Inc. executes Business Associate Agreements (BAAs) with third-party vendors and healthcare partners that create, receive, maintain, or transmit PHI on our behalf.
5.3 Use and Disclosure of PHI
Protected Health Information may be used or disclosed only as permitted by law including:
- Treatment
- Payment
- Healthcare operations
- As required by law or legal process
5.4 Minimum Necessary Standard
Humane Care Therapy Inc. follows the HIPAA Minimum Necessary Standard by limiting access, use, and disclosure of PHI to the minimum amount necessary to perform legitimate healthcare operations.
5.5 Safeguards
We implement administrative, technical, and physical safeguards to protect PHI including secure systems, controlled access to information, and workforce training on privacy obligations.
5.6 Breach Notification
In the event of a breach involving unsecured PHI, Humane Care Therapy Inc. will provide notification as required by applicable federal law and regulations.
5.7 Patient Rights
Patients whose PHI is maintained by Humane Care Therapy Inc. have rights under HIPAA including the right to request access, corrections, and restrictions related to their health information.
6. COMMUNICATIONS SERVICES
6.1 Use of Third-Party Communication Services
Humane Care Therapy Inc. may utilize third-party HIPAA-eligible communication platforms for voice calls, SMS text messaging, and related communications in connection with appointment scheduling, service notifications, and non-PHI operational communications.
6.2 HIPAA Compliance with Communication Services
Where third-party communication platforms are used in connection with PHI, we comply with all applicable HIPAA requirements including execution of Business Associate Agreements where required.
6.3 SMS Consent and Opt-Out
Our primary SMS program is the Humane Care Therapy Clinician Scheduling Program, which sends therapy assignment notifications, assignment confirmations, and scheduling updates to licensed clinicians who have opted in via our Careers page. Consent language presented to clinicians at opt-in reads: “I consent to receive SMS text messages from Humane Care Therapy Inc. for scheduling, therapy assignment opportunities, and staffing-related updates as part of the Humane Care Therapy Clinician Scheduling Program.”
We also operate a Client Communication Program which sends appointment reminders and therapy-related updates to patients and contacts who have opted in via our Contact Us page.
Patient Appointment Confirmations As a HIPAA-covered entity and Business Associate, Humane Care Therapy Inc. may send SMS appointment confirmation and reminder messages to patients using the phone number provided during the referral or intake process. These messages are sent solely for treatment coordination purposes and qualify under the FCC Healthcare Treatment Purpose Exemption to the TCPA. Such messages:
- Are limited to appointment confirmations, reminders, and scheduling updates
- Never contain marketing, promotional, or advertising content
- Never contain Protected Health Information (PHI)
- Are limited to one message per day and three messages per week per patient
- Always identify Humane Care Therapy Inc. as the sender
- Always include a STOP opt-out instruction
- Are sent only to the phone number provided by the patient or their authorized representative
By providing your phone number and checking the SMS consent box on our website or forms, you expressly consent to receive SMS text messages from Humane Care Therapy Inc. at the number provided.
Messages are operational and informational in nature and may include:
- Appointment reminders
- Scheduling updates
- Referral coordination updates
- Clinician scheduling notifications
- Other service-related communications associated with therapy staffing services
Humane Care Therapy Inc. does not send unsolicited marketing text messages.
- Message frequency varies. Standard message and data rates may apply.
- To opt out, reply STOP to any text message at any time. You may also opt out by emailing therapy@humanecaretherapy.com or calling (281) 619-3771.
- For assistance, reply HELP to any message.
- SMS consent is not a condition of receiving our services or employment.
- PHI will not be included in SMS message content unless legally permitted and secured.
- SMS consent and phone numbers provided to Humane Care Therapy Inc. are used solely for communication related to our services and will not be sold, shared, rented, or transferred to third parties or affiliates for marketing purposes.
6.4 TCPA Compliance
All SMS and voice communications comply with the Telephone Consumer Protection Act (TCPA) and applicable FCC regulations.
6.5 Texas SB 140 Compliance
Humane Care Therapy Inc. complies with Texas Senate Bill 140 (SB 140), effective September 1, 2025, which expands Texas telemarketing laws to include SMS and MMS text messages under the Texas Business and Commerce Code §§301–305.
As all SMS communications sent by Humane Care Therapy Inc. are consent-based — meaning messages are only sent to individuals who have explicitly opted in through our website forms — we qualify for the consent-based exemption from Chapter 302 registration and bonding requirements as clarified by the Texas Attorney General in November 2025.
We remain fully compliant with all other applicable provisions including:
- Texas No-Call List — We do not send messages to numbers on the Texas No-Call list
- Quiet Hours — All SMS messages are sent only between 8:00 a.m. and 9:00 p.m. in the recipient’s local time zone
- Opt-Out Honoring — All opt-out requests via STOP are honored immediately and permanently
- Consent Records — We maintain detailed records of all consent events, opt-outs, and message logs
- Prior Express Written Consent — All recipients have provided documented prior express written consent before receiving any SMS messages
Violations of applicable Texas telemarketing laws may result in civil penalties of up to $5,000 per violation under the Texas Deceptive Trade Practices Act (DTPA). Humane Care Therapy Inc. takes these obligations seriously and maintains strict compliance protocols.
6.6 Texas State Law
All voice and text communications comply with applicable Texas telecommunications laws.
7. PATIENT REFERRALS
7.1 Referral Submission
Patient referrals submitted via fax, email, or any other method constitute an authorization for Humane Care Therapy Inc. to contact the referred patient and their healthcare providers for the purpose of arranging and delivering therapy services.
7.2 Accuracy of Information
Referring agencies and providers represent that all information submitted in patient referrals is accurate, complete, and submitted with appropriate patient authorization. Submission of false or inaccurate information may constitute fraud and may be referred to appropriate authorities.
7.3 HIPAA Authorization
By submitting a patient referral, the referring agency represents that it has obtained or verified all necessary patient authorizations required under HIPAA and applicable state law for the disclosure of PHI to Humane Care Therapy Inc.
7.4 Fax Transmissions
All patient referrals transmitted by fax are intended solely for the named recipient and may contain confidential PHI protected under HIPAA. If you receive a fax in error, please notify us immediately at (281) 619-3771 and destroy the misdirected transmission.
8. CLINICIAN APPLICATIONS AND CREDENTIALS
8.1 Accuracy of Applications
Clinicians submitting applications and credentials represent that all information provided is truthful, accurate, and complete. Submission of false credentials, misrepresentation of licensure status, or omission of material information including disciplinary history constitutes grounds for immediate termination of any placement and may result in referral to applicable state licensing boards.
8.2 Credential Verification Consent
By submitting an application, clinicians expressly consent to Humane Care Therapy Inc. verifying their credentials including but not limited to: state licensure status and history, OIG exclusion list status, background check, professional references, and professional liability insurance coverage.
8.3 Ongoing Obligations
Clinicians agree to notify Humane Care Therapy Inc. immediately of any change in licensure status, disciplinary proceedings, criminal charges, or any event that may affect their ability to provide clinical services or their eligibility to participate in Medicare or Medicaid programs.
9. INTELLECTUAL PROPERTY
9.1 Ownership
All content on this Site including text, graphics, logos, images, videos, blog posts, and other materials are the exclusive property of Humane Care Therapy Inc. or its content suppliers and are protected by United States and international copyright, trademark, and intellectual property laws.
9.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial purposes only. This license does not permit you to reproduce, modify, distribute, sell, or create derivative works from any content on this Site.
9.3 Trademarks
“Humane Care Therapy Inc.,” the Humane Care Therapy logo, and related marks are trademarks of Humane Care Therapy Inc. You may not use these marks without our prior written permission.
9.4 User Content
By submitting any content to us including form submissions, referrals, reviews, or feedback, you grant Humane Care Therapy Inc. a non-exclusive, royalty-free, perpetual license to use such content for legitimate business purposes. You represent that you have the right to submit such content and that it does not infringe any third-party rights.
10. WEBSITE USE AND PROHIBITED CONDUCT
10.1 Permitted Use
You may use this Site only for lawful purposes and in accordance with these Terms.
10.2 Prohibited Conduct
You agree not to:
- Use the Site in any way that violates any applicable federal, state, local, or international law or regulation
- Submit false, misleading, or fraudulent information through any form or communication
- Attempt to gain unauthorized access to any portion of the Site or its related systems
- Use automated tools, bots, scrapers, or crawlers to access or harvest content from the Site
- Transmit any malware, viruses, or other harmful code
- Engage in any conduct that restricts or inhibits any person’s use or enjoyment of the Site
- Impersonate any person or entity or falsely state your affiliation with any person or entity
- Use the Site to send unsolicited commercial communications
- Violate the privacy rights of any individual by sharing PHI without authorization
- Interfere with the proper operation of the Site or its hosting infrastructure
11. DISCLAIMER OF WARRANTIES
11.1 As-Is Basis
THIS SITE AND OUR SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
11.2 No Guarantee of Results
We do not warrant that our staffing services will result in any particular clinical outcome, patient satisfaction, agency fill rate, or business result. Clinical outcomes depend on many factors beyond our control.
11.3 Third-Party Services
We do not warrant the accuracy, reliability, or availability of any third-party services including Google Workspace, Twilio (pending A2P 10DLC approval), or any other vendor whose services we use. Your use of third-party services is subject to their respective terms and conditions.
11.4 Medical Advice Disclaimer
Nothing on this Site constitutes medical advice. All clinical decisions should be made in consultation with qualified licensed healthcare professionals.
12. LIMITATION OF LIABILITY
12.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HUMANE CARE THERAPY INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND SUCCESSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SITE OR SERVICES.
12.2 Cap on Liability
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
12.3 Essential Basis
THE LIMITATIONS OF LIABILITY IN THIS SECTION APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
13. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Humane Care Therapy Inc. and its officers, directors, employees, contractors, agents, affiliates, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:
- Your violation of these Terms
- Your use of the Site or our services
- Your violation of any applicable law or regulation including HIPAA
- Your submission of false, inaccurate, or unauthorized information
- Your infringement of any intellectual property or other rights of any person or entity
- Any clinical care provided by clinicians you engage through our staffing services
14. GOVERNING LAW AND DISPUTE RESOLUTION
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the state and federal courts located in Fort Bend County or Harris County, Texas for resolution of any disputes. Humane Care Therapy Inc. currently operates exclusively within the State of Texas.
14.2 Informal Resolution
Before initiating any formal legal proceeding, you agree to contact us at therapy@humanecaretherapy.com to attempt to resolve any dispute informally. We will make good faith efforts to resolve disputes within 30 days of receiving written notice.
14.3 Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or our services that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Fort Bend County, Texas. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
14.4 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.
14.5 Exceptions
Notwithstanding the above, either party may seek injunctive or other equitable relief in court to prevent actual or threatened infringement of intellectual property rights or unauthorized disclosure of confidential information or PHI.
15. COMPLIANCE WITH HEALTHCARE LAWS
15.1 Anti-Kickback Statute
Humane Care Therapy Inc. complies with the federal Anti-Kickback Statute (42 U.S.C. § 1320a-7b(b)) and applicable safe harbors. We do not offer, pay, solicit, or receive any remuneration in exchange for referrals of services covered by Medicare, Medicaid, or other federal healthcare programs.
15.2 Stark Law
We comply with the Physician Self-Referral Law (Stark Law), 42 U.S.C. § 1395nn, and its implementing regulations. We do not enter into financial arrangements with referring physicians that would violate these provisions.
15.3 False Claims Act
We comply with the False Claims Act, 31 U.S.C. §§ 3729–3733, and related federal and state statutes. We do not submit or cause to be submitted any false or fraudulent claims to Medicare, Medicaid, or any other federal or state healthcare program.
15.4 OIG Exclusion
We verify that all clinicians placed are not excluded from participation in federal healthcare programs through the OIG List of Excluded Individuals/Entities (LEIE) and the System for Award Management (SAM) prior to placement and on a monthly basis thereafter.
15.5 Medicare and Medicaid Compliance
All therapy services provided through our clinicians comply with applicable Medicare Conditions of Participation, PDGM documentation requirements, Medicaid regulations, and private insurance requirements.
15.6 Texas Healthcare Laws
We comply with applicable Texas healthcare laws including the Texas Medical Practice Act, the Texas Occupations Code, and regulations of the Texas State Board of Occupational Therapy Examiners, the Texas Board of Physical Therapy Examiners, and the Texas State Board of Examiners for Speech-Language Pathology and Audiology.
16. CONFIDENTIALITY
All non-public information shared with Humane Care Therapy Inc. in the course of our business relationship — including agency staffing needs, patient information, proprietary business information, and clinician credentials — is treated as confidential. We will not disclose such information to third parties except as necessary to perform our services, as required by law, or with your prior written consent.
17. LINKS TO THIRD-PARTY WEBSITES
This Site may contain links to third-party websites for informational purposes. We do not endorse, control, or assume responsibility for the content, privacy practices, or terms of any third-party website. Your use of third-party websites is at your own risk and subject to their respective terms and conditions.
18. ACCESSIBILITY
Humane Care Therapy Inc. is committed to making our website accessible to individuals with disabilities in accordance with the Americans with Disabilities Act (ADA) and Section 508 of the Rehabilitation Act. 19. CHILDREN’S PRIVACY
Our website and services are not directed to children under the age of 13. We do not knowingly collect personal information from children under 13. If we become aware that we have collected personal information from a child under 13 without verified parental consent, we will take steps to delete that information in accordance with the Children’s Online Privacy Protection Act (COPPA).
20. FORCE MAJEURE
We shall not be liable for any failure or delay in performance of our obligations under these Terms resulting from causes beyond our reasonable control including acts of God, natural disasters, pandemics, war, terrorism, government actions, power failures, internet outages, or other force majeure events.
21. SEVERABILITY
If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions of these Terms shall continue in full force and effect.
22. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy and any executed service agreements or Business Associate Agreements, constitute the entire agreement between you and Humane Care Therapy Inc. with respect to the subject matter herein and supersede all prior and contemporaneous agreements, communications, and understandings.
23. WAIVER
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Humane Care Therapy Inc.
